These Terms & Conditions ("Terms") govern your access to and use of the payment, banking, and payroll products and services (collectively, the "Services") provided by Rocky Road, Inc. doing business as Gordeon ("Gordeon," "we," "us"). By creating an account or using the Services, you agree to these Terms.
1. Eligibility & accounts
You must be a business or an individual acting on behalf of a business, located in a supported region, and able to form a binding contract. You are responsible for the accuracy of the information you provide and for all activity that occurs under your account credentials. Keep your credentials confidential and notify us promptly of any unauthorized use.
2. The Services
Gordeon provides tools to accept payments, move funds, hold balances, and run payroll. Certain Services are provided in partnership with banking and card-network partners and are subject to their requirements. Features, limits, and availability may change over time.
- Payment processing, checkout, and payout services.
- Business banking features including checking, savings, and financing.
- Staff tools including payroll and benefits administration.
3. Fees
You agree to pay the fees described on our Pricing page or in your order form, including per-transaction processing fees and any applicable subscription or add-on charges. Fees may be deducted from your balance or settlement amounts. Taxes are your responsibility unless otherwise stated.
4. Acceptable use
You may not use the Services for any unlawful, fraudulent, or prohibited activity, including the sale of restricted goods, money laundering, or activity that violates card-network rules. We may suspend or terminate access, withhold funds, or place reserves where we reasonably believe these Terms or applicable law have been breached.
5. Settlement & funds
Settlement timing depends on your account configuration and risk profile; transfers may arrive as soon as the next business day. We may delay, reverse, or hold funds in connection with disputes, chargebacks, refunds, suspected fraud, or to comply with legal obligations.
6. Disputes & chargebacks
You are responsible for resolving customer disputes and for amounts associated with chargebacks and refunds, including related fees. We provide tools and evidence handling to assist, but final outcomes are determined by the card networks and issuing banks.
7. Disclaimers & limitation of liability
The Services are provided on an "as is" and "as available" basis without warranties of any kind. To the maximum extent permitted by law, Gordeon will not be liable for indirect, incidental, special, or consequential damages, and our aggregate liability is limited to the fees you paid to us in the three months preceding the claim.
8. Term & termination
These Terms remain in effect while you use the Services. Either party may terminate as described in your agreement. Certain obligations — including those relating to fees, liability, and indemnification — survive termination.
9. Changes
We may update these Terms from time to time. Material changes will be communicated through the Services or by email, and your continued use after the effective date constitutes acceptance.
